This Agreement is made and entered into by and between [Customer] for and on behalf of itself and its subsidiaries and affiliates under common control and Gu.The Software, with office at Lahnstraße 63, 64521 Gross Gerau, Germany. The parties hereby agree as follows:

I. LICENSES GRANTED

1.1 Internal Use License
Gu.The Software grants to [Customer] the right and license to use the SQLinForm Single User License for any development purposes and for [Customer]’s internal use. The Single User license gives a single user of [Customer] the right to install SQLinForm on all his/her computers including business and private computers. The Single User License cannot be used on a server with shared directories.

1.3 Restrictions
[Customer] shall not license or sublicense the SQLinForm Single User License, or transfer or convey the SQLinForm Single User License or any right in the SQLinForm Single User License to anyone else without the prior written consent of Developer.

1.4 Intellectual Property Rights
Gu.The Software shall retain all right, title and interest to the Intellectual Property Rights in SQLinForm.

II. LIMITATION OF LIABILITY
(i) NEITHER PARTY SHALL HAVE ANY LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO RELIANCE, COVER, OR LOSS OF ANTICIPATED PROFITS, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (ii) NEITHER PARTY’S LIABILITY FOR DAMAGES RELATING IN ANY WAY TO THIS AGREEMENT OR THE CONDUCT OF THE PARTIES IN FURTHERANCE HEREOF UNDER ANY LEGAL THEORY, WHETHER CONTRACT, TORT, PRODUCT LIABILITY, BREACH OF IMPLIED DUTY, OR OTHERWISE SHALL EXCEED THE FEES PAID UNDER THIS AGREEMENT.
